Terms of Service
These terms govern business use of VeriSpec, operated by Verispec AI Ltd, 6 Marine Drive, Brampton, ON L6R 2H6, Canada ("VeriSpec", "we"). "Customer" means the organisation using the service. A person accepting these terms for a Customer must have authority to do so.
A signed agreement or accepted order form takes precedence where it conflicts with these terms. These published terms do not override an existing negotiated customer agreement.
1. Engineering decision support
VeriSpec is an AI-assisted decision-support tool. Its output requires review by a suitably qualified and, where required, licensed professional before it is relied upon.
The service compares uploaded specifications and drawings and produces requirements, findings, evidence references, reports and annotated drawings. AI output can be inaccurate or incomplete: it can miss a defect or identify a defect that is not present.
A PASS is not an engineering approval, professional stamp, certification, safety determination or authorisation for construction. NOT_EVIDENCED and INDETERMINATE indicate uncertainty, not compliance. We review the supplied documents, not unseen revisions, physical site conditions or requirements that were not provided.
VeriSpec does not act as the engineer of record. Customer remains responsible for design, procurement, construction, commissioning, operations and safety decisions. Do not use output as the sole basis for a decision where an error could harm people, property or the environment.
2. Accounts and authorised use
Users must be at least 18 and acting for a business. Customer controls who may access its organisation and is responsible for authorised users, account security and the accuracy of information it supplies. Tell us promptly at hello@verispec.ai about suspected unauthorised access.
You must not upload content you lack permission to have processed, access another customer's information, interfere with the service, bypass access or usage controls, or use the service unlawfully. Do not upload classified material, export-restricted material that cannot lawfully be processed by our providers, or sensitive personal information unrelated to the intended engineering review.
Do not present software findings as professional certification or use the service to discriminate unlawfully or make solely automated decisions about people with legal or similarly significant effects.
3. Customer content and AI processing
Customer retains its rights in uploaded documents and customer-specific outputs. VeriSpec retains its rights in the service, software, prompts and methods. We do not claim ownership of Customer's documents.
Customer authorises us to host, copy, render, analyse and transmit content as necessary to deliver the requested service, maintain security, diagnose faults and comply with law. Document analysis sends text and images to third-party AI model hosts through OpenRouter, using the restrictions described in our Privacy Policy. Direct AI-provider routes are not permitted for Customer Content.
We store engineers' confirmations, rejections and edits with related rule text and evidence excerpts, and use them to evaluate and improve service accuracy. Ordinary run deletion retains those reviews unless Customer opts out or requests full deletion. Customer may contact us to disable retention or remove retained reviews. Additional restrictions in an agreed customer contract or data-processing agreement take precedence.
We do not use Customer Content for advertising or disclose it to other customers. We will not use Customer's name or project details in marketing without permission.
4. Confidentiality and personal information
Each party will use the other's non-public information only for the business relationship or a lawful purpose, protect it with reasonable care and restrict disclosure to those who need it. Customer Content is Customer's confidential information. These obligations continue while the information remains confidential.
Confidentiality does not cover information that becomes public without a breach, was already lawfully known, is independently developed, or is lawfully obtained from another source. Necessary disclosures to service providers and disclosures required by law remain permitted, subject to applicable duties.
Our Privacy Policy explains personal-information handling and rights. Customer is responsible for a lawful basis and necessary notices or permissions for its uploads. Contact us to arrange a data-processing agreement where required; publishing these terms does not represent that a separate DPA has been executed.
5. Charges and commercial agreements
Pricing, payment arrangements and any credit-expiry, refund, subscription or service-level terms are those agreed with Customer in an accepted quotation, order form or other written agreement. Additional commercial commitments must be agreed in writing; this page does not introduce a new refund policy or liability cap.
Where prepaid credits apply, the product displays the charge and balance before evaluation. Under the current credit model, a failed run does not consume evaluation credits, and resuming or rerunning the same run is not charged again. Charges and payment obligations already incurred remain subject to the applicable customer agreement and law.
6. Availability and limitations
We may update the service and its models. Availability depends partly on third-party infrastructure and AI providers. Unless separately agreed, these terms do not guarantee uptime, support response times or uninterrupted service.
To the extent permitted by law and subject to any separate agreement, the service and its output are provided "as is" and "as available", without a guarantee of accuracy, completeness, fitness for a particular purpose or detection of every non-conformance. Nothing excludes rights, duties or liability that cannot lawfully be excluded.
7. Suspension, ending use and deletion
We may restrict access where reasonably necessary to address unlawful use, a breach of these terms, or a security threat, and provide notice where appropriate and legally permitted. Customer may stop using the service and contact us to close access. Contractual cancellation and payment obligations remain governed by the applicable customer agreement.
Customers should download needed reports before requesting deletion. Run retention is 365 days by default and configurable between 30 and 365 days. Support and API controls allow earlier deletion of eligible runs and deletion of retained engineer reviews. There is currently no self-service screen for all retention and deletion settings.
A run deletion is not complete account erasure. Audit, billing, account, backup and provider records may require separate handling. See the Privacy Policy for current limits and how to make a full deletion request. Technical limitations do not themselves excuse applicable legal duties.
8. Concerns and changes
Report privacy, accuracy, fairness or safety concerns to hello@verispec.ai. Engineers may also confirm or reject findings in the product. Reporting a concern does not replace the professional review required before reliance on an output.
We may revise these terms, publish the effective date and maintain a version history. Material contractual changes will be communicated and accepted where required by applicable law or the customer agreement. New wording does not retrospectively change an existing signed agreement.
